I prefer a semi-auto over a belt drive. That's 1 reason I'd choose a 450S over a Kodiak 450. The Foreman is also supposed to be a reliable work horse. The Kodiak has liquid cooling, disc brakes and a differential LOCK. I'd like to combine the two to make one quad. It would probably come down to which one I could get cheaper. I'd be tempted to buy the Kodiak because of the differential lock.

If your thinking about a used 450S, 2001 and down are fulltime 4x4. The 2002 and up are selectable. Just a thought.

The Kodiak is going to be a faster sportier machine than the 450 but it also has a belt that if your mudding and water ridng can get wet and slip. Belts can also break when working them hard like towing or plowing. The Kodiak has a locker though whcih is a big plus in the mud. The 450 is a rough and tough work horse of a machine. If you don't care about top speed (48-49mpg tops) or sportieness and just want a simple machine that will run each day and work it's a$$ off on the farm or in the mud than the 450s is the machine to get. The 450s dosn't have a locker but they are avaliable for them. Personaly I'd get the 450s (and I am).
