The clutch is no problem at all and you already know how to shift since you have had an auto clutch you will just be adding the left hand to the operation of shifting. The best way starting off is the gradually let out the clutch and apply gas at the same time. You will more than likely kill the quad a few times till you get the hang of the release point of the clutch. Once learned you will soon realize how much more control you have over machine and the fun factor increases.
The 300EX even though an older design is still ahead of Z250 in its handling and suspension capacities, its just an all around great quad. We had one for 2 years and at our place through the woods it could keep up with anything, third gear was perfect at keeping pace.

Don't know if you've bought a quad yet or not, but one thing that sold me on the 300 over the 250's was the travel! The 300EX has a lot more! The suspension is also adjustable, whereas it is not on the 250EX, and it is on the Z. Did you check out the newest article in Dirtwheels on the 300EX? It is pretty good, doesn't say anything negative really except for the choke being in a weird spot. That's no big deal to me as it was always like that on my dirtbikes. You shouldn't have any trouble with the clutch. Have you ever driven a manual car? If you've shifted anything you will get the general idea and you'll get used to it easily. You said you might race? What class or type of racing will you do? I've been in some harescrambles, and if you get a 250EX or Z250, they are usually in a light utility class because of the auto clutch and shaft drive, so it's the largest engine in the class. If you go with the 300, you'll be in the sport class. Personally, I think the clutch and chain features are more for racing than the auto clutch and shaft drive. Again, don't know what style racing, but the 300, again, has better suspension and would do a little better on jumps. Either one is good for trail riding.
