It will bolt right up.
But if you want an awesome rear suspension upgrade for the cheap find a good used 2001 Raptor 660 rear shock. It's an Ohlins unit (from the factory) and not only is it night and day better than the 300EX shock, it also lowers the backend a little over an inch when used with a 400EX rear shock spring. I'm not overstating it when I say the ride is night and day...I would pick that setup over any aftermarket shock any day. You just HAVE to be sure it's an 01 Raptor though,...it has the remote reservoir. The 02-up models uses a piggyback reservoir and will not work due to interference with the 300EX/250X airbox.
