My buddies scrammy 4x4 400 02 dosen't run to well the other day we were riding on the snow and all of a sudden it popped out of gear and and would not stay in gear had to hold his foot on the shifter to keep it from coming out of gear. After a while of that it just would not go back into gear and we had to tow him out. Any ideas on where we would start to look?

Here is a diagram to start with: 02 Scrammy 400 tranny.
Most of the time the popping out of gear starts with the shift rod not adjusted right (ie - not going all the way into gear) - then people try to hold it in gear and all the while the tranny is trying to jump out of gear - bingo the bellcrank (lever on top of the tranny - #11 on the diagram) starts to strip - thus not moving the shift shaft that puts the tranny in gear. These symptoms usually have gear grinding noises. These are easy, external fixes.
The only other time I have seen a polaris tranny not stay in gear is internal - the spring for the interlock pin (#14 in the diagram) had rusted to pieces and would not let the shift forks stay in position. The interlock is the snap (click) you hear when you shift the tranny in gear without the engine running - it locks the shift fork into a particular position. This tranny should be too new to have parts starting to disentergrate inside.
Try checking the easy stuff first.
