Ace1973, This is a GREAT time to upgrade. Before the dealer installs the new one, ask them how much credit they will give you for it on trade for the Warn.
It may work out like this:
WarnWinch Cost $400ish
PopoWinch Credit $350
You only pay $50ish and get the real thing!

I guess I do have one complaint about the Polaris 3500# winch--it comes with the synthetic rope, but doesn't come with the rock guard wrapper that most synthetic ropes include.
If my winch does fail, I think you have exactly the right recommendation, mtpockets : Trade the replacement in on a Warn.
